These Terms of Service and End User License Agreement (collectively, the "Terms") form a binding contract between you and PinDrift ("PinDrift", "we", "us", "our"). The Terms govern your access to and use of the PinDrift desktop application (the "Software"), the PinDrift website at pindrift.app, the PinDrift license server, and any related services (collectively, the "Service").

18+ ONLY - strict age gate.

PinDrift is offered exclusively to users who are 18 years of age or older. Anyone under the age of 18 is strictly prohibited from downloading, installing, activating, accessing, purchasing, or using the Software, the Site, or any part of the Service, for any reason whatsoever. This restriction is absolute and has no minor-with-parental-consent exception. Misrepresenting your age to obtain access is a material breach of these Terms and immediately voids any License without refund.

BY INSTALLING, ACCESSING, ACTIVATING, OR USING THE SOFTWARE, OR BY PURCHASING A LICENSE THROUGH THE SITE, YOU REPRESENT AND WARRANT THAT YOU ARE AT LEAST 18 YEARS OLD AND YOU AGREE TO BE BOUND BY THESE TERMS, INCLUDING THE BINDING INDIVIDUAL ARBITRATION AGREEMENT, JURY-TRIAL WAIVER, AND CLASS-ACTION WAIVER IN SECTION 11 (WHICH YOU MAY OPT OUT OF WITHIN 30 DAYS). IF YOU ARE UNDER 18, OR IF YOU DO NOT AGREE, DO NOT INSTALL OR USE THE SOFTWARE.

1. Acceptance, Eligibility, and Geographic Scope

Age requirement (strict). You must be at least 18 years of age at the time you accept these Terms and at all times you use the Service. If the age of legal majority in your U.S. state of residence is higher than 18, you must additionally have reached that age. There is no exception for minors with parental consent; PinDrift is not lawfully available to anyone under 18 under any circumstance. You further represent and warrant that you have full legal capacity to enter into this contract. If we determine, at any time and at our sole discretion, that a user is under 18, we will immediately and permanently revoke that user’s License and any associated access, without refund, and may delete or anonymize associated account data consistent with our retention obligations. You accept these Terms by clicking “I Agree” in the Software’s first-launch agreement screen, by purchasing a license, or by otherwise using the Service.

Geographic scope. The Service is offered to and intended for residents of the United States of America only. By accepting these Terms and purchasing a License, you represent and warrant that you are physically located in the United States and ordinarily reside in the United States. PinDrift does not market, sell, or knowingly provide the Service to residents of the European Union, the European Economic Area, the United Kingdom, or Switzerland, and we do not undertake compliance with the EU General Data Protection Regulation, the UK GDPR, the EU Digital Services Act, or analogous foreign regulatory regimes. If you are located in those territories, do not purchase, install, or use the Software. Purchases attempted from those territories may be blocked or refunded at our sole discretion. Sanctioned jurisdictions (Cuba, Iran, North Korea, Syria, the Crimea / Donetsk / Luhansk regions of Ukraine, and any other jurisdiction sanctioned by the U.S. Office of Foreign Assets Control or by U.S. export control law) are categorically excluded.

2. Plans and Licenses

  • Free Trial - $0. Every fresh install of the Software receives a limited unrestricted-teleporting trial, the duration of which is set by the Software in its then-current configuration and may be changed by PinDrift at any time. The clock starts at the moment of the first successful teleport on that installation. Installing the Software, pairing your phone, configuring devices, and building routes do not consume trial time - only an active teleport starts the clock. No payment instrument is required. When the trial window closes, teleporting is locked until a paid plan is activated; other (non-teleporting) functions of the Software remain available indefinitely. Full terms: Section 5.
  • 10-Day Pass - $3.99 one-time. A single, non-recurring payment that unlocks unrestricted teleporting for ten (10) consecutive days from the moment of activation, after which the Software re-locks teleporting exactly as at trial expiration. This is a time-limited one-time purchase, not a subscription: there is no recurring billing, no renewal, and nothing to cancel - it simply lapses at the end of the ten-day window. One active host computer at a time, with one iPhone teleporting at a time - the multi-tunnel cap of up to ten phones at once is a Yearly and Lifetime feature. Because the Pass is itself the access, it is final and non-refundable once activated (see Section 5).
  • Monthly - $5.00 per month. Recurring monthly subscription billed in advance through our payment processor. One active host computer at a time, subject to the same 180-day transfer cooldown described under "Lifetime" below. One iPhone teleporting at a time - the multi-tunnel cap of up to ten phones at once is a Yearly and Lifetime feature. Cancel anytime from your account portal; cancellation takes effect at the end of the then-current billing period and you retain access through that date. No partial-month refunds.
  • Yearly - $25.00 per year. Recurring annual subscription billed in advance through our payment processor. Same single-host and 180-day transfer cooldown as Monthly, plus up to ten (10) phones teleporting simultaneously (iOS and Android, in any combination) on a single host. Cancel anytime from your account portal; cancellation takes effect at the end of the then-current annual billing period and you retain access through that date. No partial-year refunds.
  • Lifetime - $50.00 one-time. One active host computer at a time. Host-PC transfers are free but rate-limited: a successful transfer initiates a 180-day cooldown before the License may be transferred to a different machine again. The cooldown timer runs from the moment of transfer-completion and is enforced server-side; it cannot be reset by reinstalling the Software. Emergency transfers (hardware failure, theft, loss) may be expedited at PinDrift's discretion, on receipt of documentation reasonably evidencing the underlying loss; PinDrift's determination is final. Up to ten (10) phones teleporting simultaneously (iOS and Android, in any combination) on a single host. All future updates included for the life of the License - no maintenance fee, no annual renewal.

Monthly and Yearly are the recurring-billing tiers; the 10-Day Pass and Lifetime are the one-time purchases. PinDrift does not offer any other consumer or enterprise licensing tier.

3. License Grant and Restrictions

Subject to your compliance with these Terms and your active License, PinDrift grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Software on the number of devices permitted by your purchased SKU.

You may not reverse-engineer, decompile, or disassemble the Software (except as permitted by applicable law); distribute, sell, sublicense, rent, or transfer the Software or License Keys; modify or create derivative works; remove proprietary notices; or use the Software in violation of any law, regulation, court order, or third-party right.

3.1 Personal vs. Commercial Use

The 10-Day Pass, Monthly, Yearly, and Lifetime SKUs listed in Section 2 are licensed for individual non-commercial use only. "Personal" or "non-commercial" use means the License Holder is a natural person using the Software for their own personal purposes (hobby projects, personal learning, personal location autonomy on their own accounts and devices).

Any of the following constitutes "Commercial Use" and requires a separately negotiated commercial-licensing arrangement with PinDrift, the terms of which are agreed in writing on a case-by-case basis:

  1. Use of the Software in the course of paid software development, contracting, freelance, or agency work;
  2. Use of the Software for, on behalf of, or in any way benefiting an employer, client, customer, or other third-party organization (whether the License Holder is compensated specifically for that use or not);
  3. Use of the Software in connection with any product, service, or operation for which fees are charged or revenue is generated, directly or indirectly;
  4. Use of the Software in logistics, fleet operations, delivery, dispatch, market research, location analytics, accessibility services for paying clients, or any operational use case that supports a business;
  5. Embedding, integrating, wrapping, or building upon the Software's functionality in a product or service offered to third parties;
  6. Sharing the License with, or installing on devices belonging to, anyone other than the License Holder personally; and
  7. Installation on hardware owned, leased, operated, or controlled by an organization rather than by the License Holder personally.

Limited safe harbors are described in the Acceptable Use Policy § Commercial Use, including verified academic use and personal feature evaluation prior to a commercial-licensing inquiry.

Misrepresenting Commercial Use as personal use to obtain or retain a personal License is a material breach of these Terms and the End User License Agreement, and immediately voids the License without refund. PinDrift may detect Commercial Use through heartbeat patterns, hardware-fingerprint clustering across an organization, or third-party reporting; in such cases PinDrift will revoke the personal License and require a commercial-licensing arrangement as a condition of further use of the Software. The License Holder remains liable for any damages, fees, or backlicensing obligations arising from Commercial Use under a personal License.

4. Acceptable Use

You are solely responsible for how you use the Software. The Software is a general-purpose location-simulation tool. The lawful and compliant use of that tool is your responsibility, not ours. You agree to use the Software only with iOS or Android devices and accounts that you own or are explicitly authorized to use.

Many third-party apps and online services prohibit GPS simulation. You acknowledge that using the Software with such services may result in suspension, termination, loss of in-app purchases or in-game progress, or other consequences. You assume all such risk.

5. Free Trial and No-Refund Policy

PinDrift uses a try-before-you-buy model rather than a post-purchase refund window. Every fresh install of the Software receives a limited unrestricted-teleporting trial starting from the moment of the first successful teleport on that installation. The trial is long enough to verify the Software works on your hardware, with the apps you care about, in the locations you actually use - and importantly, setup time (installing the app, pairing the phone, accepting Developer Mode, configuring devices, building routes) does not consume the trial budget. The clock and the lockout are enforced locally by the Software; no server round-trip is required to start the trial. The trial length is set by the Software in its then-current configuration and may be changed by PinDrift at any time.

  • Trial duration: set by the Software. The Software permits unrestricted teleporting for a limited period from the timestamp of the first successful teleport event on a given installation, after which a paid plan is required to continue teleporting. The clock starts the first time you successfully apply a teleported location, regardless of how long the app was installed beforehand. The trial timer runs continuously once started; pausing, stopping, or closing the app does not pause it. There is no per-session or per-teleport cap within the trial window.
  • At trial expiration. When the trial window closes, the Software disables further teleporting on this installation until a valid paid plan - the 10-Day Pass ($3.99 one-time), Monthly ($5/month), Yearly ($25/year), or Lifetime ($50 one-time) - is activated. All non-teleporting functionality (browsing the UI, configuring devices, building routes, exporting scenarios) remains available indefinitely.
  • No refunds on one-time purchases. Because every user receives unrestricted teleporting access during the trial before any payment, all one-time purchases - the 10-Day Pass and Lifetime - are final and non-refundable. The trial is the refund. Once you have purchased a one-time License, you have already verified the Software works for you, so PinDrift does not offer post-purchase refunds for change-of-mind, buyer's remorse, or use cases the trial would have surfaced.
  • Monthly cancellation. The Monthly plan can be cancelled at any time from the account portal. Cancellation takes effect at the end of the then-current billing period; you retain access through that date. PinDrift does not pro-rate or refund partial months.
  • Tampering voids eligibility. Modifying the local trial counter, the license token, attempting to reset the trial by reinstallation, or otherwise circumventing the licensing system voids any future eligibility to purchase or use the Software and immediately revokes any existing License. The Software cryptographically signs trial-and-License heartbeats; tampered counters are detected at the license server.
  • Chargebacks. Initiating a chargeback after purchase voids the License immediately and bars future purchase.
  • Discretionary exceptions. PinDrift may, at its sole discretion, refund a purchase for a confirmed defect we cannot fix, or for an extended iOS or Android compatibility break we have not shipped a fix for. These are not entitlements; the determination is final. Request via the contact form with your order ID.
  • Operational discontinuation. If PinDrift discontinues the Service in a way that renders your License unusable, see Section 13.3 for the operational-discontinuation refund. That refund is independent of this Section and is not waived by this policy.

6. Updates and Service Availability

Every paid plan - the 10-Day Pass, Monthly, Yearly, and Lifetime - includes all future updates at no additional charge for as long as your License is active. There is no annual maintenance fee, no "premium" update tier, and no requirement to repurchase the Software when a new version ships. Lifetime holders keep receiving updates indefinitely; Monthly, Yearly, and 10-Day Pass holders receive updates while their access is active.

We do not warrant that the Software will work with any specific version of iOS, any specific Apple device, or any specific third-party application.

7. Activation Data and Privacy

To enforce per-device licensing and provide support, the Software transmits to our license server: a one-way SHA-256 hash derived from your hardware fingerprint, your operating-system family and version, your hostname, the Software version, your license token, heartbeat timestamps, and integer counters for total teleport sessions, total active-teleport time in seconds, and total tunnel-minutes. Your purchase record contributes your email, country, purchased SKU, and a merchant order reference. The complete inventory, retention schedule, and lawful bases are set out in the Privacy Policy, which is incorporated into these Terms by reference and controls in the event of any apparent inconsistency with this Section.

We do not retain your IP address beyond transient request logs (purged within 30 days), and we do not collect your iOS or Android device serial number, your Apple ID or Google account, your routes, your simulated locations, your real GPS, your contacts, or any content you create.

8. Disclaimer of Warranty

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND COMPATIBILITY WITH ANY THIRD-PARTY HARDWARE, OPERATING SYSTEM, OR APPLICATION.

WE MAKE NO WARRANTY THAT YOUR USE OF THE SOFTWARE WILL NOT RESULT IN SUSPENSION OR TERMINATION OF ANY THIRD-PARTY ACCOUNT, INCLUDING POKÉMON GO ACCOUNTS, GAMING ACCOUNTS, IN-APP CURRENCY, OR PURCHASED ITEMS. YOU ASSUME ALL SUCH RISK.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SOFTWARE IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU HAVE PAID US IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00 USD).

WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, LOST IN-APP PURCHASES, LOSS OF GAME PROGRESS, OR ACCOUNT BANS.

Carve-outs. Nothing in this Section 9 limits or excludes our liability for: (a) gross negligence, willful misconduct, or fraud; (b) death or personal injury caused by our negligence; (c) any liability that cannot be limited or excluded under applicable law (including, where applicable, California Civil Code § 1668 and analogous state and foreign statutes); or (d) any statutory consumer right of yours that is non-waivable under the law of your country, state, or province of residence.

10. Indemnification

You agree to indemnify and hold harmless PinDrift and its officers, members, employees, and agents from third-party claims, suits, and demands (and reasonable attorneys' fees actually incurred in defending against them) to the extent arising out of: (a) your violation of these Terms or the Acceptable Use Policy; (b) your violation of applicable law; (c) your violation of any third-party right (including any third-party service's terms of use); or (d) your use of the Software with devices or accounts you do not own and are not authorized to use. This Section does not apply to claims to the extent they arise from PinDrift's own breach of these Terms, gross negligence, willful misconduct, or fraud, and does not require you to indemnify PinDrift for amounts that exceed the actual damages awarded against PinDrift on the indemnified claim. We will give you prompt written notice of any claim we believe is covered, allow you to control the defense and any settlement that does not impose non-monetary obligations on us, and reasonably cooperate at your expense.

11. Disputes: Binding Arbitration & Class-Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES YOU AND PINDRIFT TO RESOLVE DISPUTES BY FINAL AND BINDING INDIVIDUAL ARBITRATION RATHER THAN IN COURT, WAIVES JURY TRIAL, AND WAIVES CLASS-ACTION AND OTHER REPRESENTATIVE PROCEEDINGS. YOU MAY OPT OUT OF ARBITRATION WITHIN 30 DAYS UNDER SECTION 11.3.

11.1 Direct resolution first (60 days)

Before initiating arbitration or any other proceeding against the other, you and PinDrift each agree to provide written notice of the dispute and a reasonable opportunity (at least sixty (60) days) to resolve it informally. You provide notice to PinDrift via the contact form (select "Other") or by U.S. mail to the postal address in Section 15. PinDrift will provide notice to you at the email address associated with your License. The 60-day clock does not start until both parties have actually communicated about the substance of the dispute.

11.2 Binding individual arbitration

If direct resolution does not produce a settlement within the 60-day period, any dispute, claim, or controversy arising out of or relating to these Terms or the Software shall be resolved by final and binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, as modified by these Terms, before a single arbitrator. The seat of arbitration is Fulton County, Georgia; any hearing will be held by telephone or video conference unless both parties agree to an in-person session in Atlanta, Georgia or the AAA rules require otherwise. The arbitrator has exclusive authority to resolve any dispute about the interpretation, applicability, enforceability, or formation of this arbitration agreement, except that a court, not an arbitrator, decides whether the class-action waiver in Section 11.4 is enforceable. The arbitrator may award the same individual relief a court could, and the award may be entered as a judgment in any court of competent jurisdiction. AAA administrative and arbitrator fees are governed by the AAA Consumer Arbitration Rules, and PinDrift will pay the portion those rules require it to pay; each party otherwise bears its own attorneys' fees except where the governing law or the AAA rules provide otherwise.

11.3 Your right to opt out of arbitration (30 days)

You may opt out of this arbitration agreement within thirty (30) days of the date you first accept these Terms by emailing arbitration-optout@pindrift.app with your full legal name, the email address associated with your License, and a clear statement that you wish to opt out of arbitration. A timely opt-out is effective only as to arbitration; the rest of these Terms (including the class-action waiver, and the exclusive Fulton County, Georgia forum and jury-trial waiver that then govern your disputes in court) continue to apply. Opting out has no effect on any other agreement to arbitrate you may have with PinDrift.

11.4 Class-action waiver

You and PinDrift each agree that all claims must be brought in an individual capacity, and not as a plaintiff or class member in any class action, collective action, mass action, private attorney general action, or other representative proceeding. The arbitrator may not consolidate more than one person's claims, may not preside over any form of representative or class proceeding, and may not award class-wide relief. If this class-action waiver is held unenforceable as to a particular claim, that claim (and only that claim) is severed from arbitration and may proceed in the state or federal courts located in Fulton County, Georgia, where you and PinDrift each consent to personal jurisdiction and waive any right to a jury trial; the remainder of this Section 11 continues to apply.

11.5 Carve-outs (small claims and injunctive relief)

Either party may bring an individual (non-class) action in a small-claims court of competent jurisdiction for any dispute that qualifies for that court's jurisdiction, and either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of its intellectual-property rights or to compel arbitration. Pursuing such relief does not waive the right to arbitrate any other claim.

11.6 Public injunctive relief

Nothing in this Section is intended to waive your right to seek public injunctive relief in a court of competent jurisdiction (cf. McGill v. Citibank, N.A., 2 Cal. 5th 945 (2017)). To the extent a claim for public injunctive relief is found non-arbitrable, that claim is severed and may be heard in court while the remaining claims are arbitrated.

11.7 Survival

This Section 11 survives any termination of these Terms or your License.

Why arbitration, and how to opt out. Binding individual arbitration resolves the overwhelming majority of consumer software disputes (refund timing, license activation, billing) faster and more cheaply than court, for both sides. The class-action waiver keeps disputes individual. If you would rather keep your right to sue in court, you may opt out within 30 days under Section 11.3 at no cost and with no effect on the rest of these Terms.

12. Governing Law

These Terms are governed by the laws of the State of Georgia, United States, without regard to its conflict-of-laws principles. Notwithstanding the foregoing, mandatory and non-waivable consumer-protection laws of your U.S. state of residence remain in force where applicable, including (without limitation) the California Consumers Legal Remedies Act (Civ. Code §§ 1750 et seq.), the California Unfair Competition Law (Bus. & Prof. Code §§ 17200 et seq.), the California False Advertising Law (Bus. & Prof. Code §§ 17500 et seq.), the New York General Business Law §§ 349 and 350, the Massachusetts Consumer Protection Act (Ch. 93A), and analogous statutes in other U.S. states. Because the Service is not offered to residents outside the United States (see Section 1), no foreign consumer-protection regime applies.

13. Termination and Suspension

13.1 For-cause termination

We may suspend or terminate your License immediately if you violate these Terms or the Acceptable Use Policy, initiate a chargeback without first contacting support, or use the Software unlawfully. Termination on these grounds does not entitle you to a refund.

13.2 Discretionary termination by PinDrift

In addition to the for-cause grounds in Section 13.1, PinDrift reserves the right to terminate or refuse service on any individual License at our sole discretion, at any time, for any lawful reason, including reasons not expressly listed in these Terms. When we exercise this right and the termination is not based on your breach of these Terms or the Acceptable Use Policy, we will refund the unused portion of your purchase price within thirty (30) days. For Lifetime the refund is the full purchase price net of any nonrefundable add-ons; the user-initiated refund window in Section 5 is unaffected. This Section does not waive the implied covenant of good faith and fair dealing read into these Terms by applicable law: we will not exercise the right under this Section in bad faith, in retaliation for the user's lawful exercise of any right under these Terms (including the right to seek public injunctive relief preserved in Section 11), or on the basis of race, color, national origin, religion, sex, sexual orientation, gender identity, gender expression, age, disability, military or veteran status, or any other characteristic protected by federal, state, or local law. A user who believes a termination under this Section was wrongful may invoke the dispute-resolution procedure in Section 11; this Section 13.2 does not abridge those rights.

13.3 Operational discontinuation of the Service

PinDrift may discontinue the Service in whole or in part at any time. If a discontinuation under this Section renders your License unusable, we will refund the unused portion of your purchase price as described in Section 13.2 within thirty (30) days, regardless of whether you are within the user-initiated refund window in Section 5.

13.4 Effect of termination

Upon termination, you must uninstall the Software and stop using the Service. The following Sections survive termination: 3 (license restrictions), 5 (refund obligations already accrued), 7 (activation data), 8 (warranty disclaimer), 9 (liability cap), 10 (indemnification), 11 (disputes), 12 (governing law), 13.2 (good-faith and non-discrimination obligations as to the terminated License), 13.5 (the carve-outs and dispute-resolution rights available to a user terminated as a Competitor), and 15 (contact and notices).

13.5 Termination based on competitive relationship

PinDrift may terminate or refuse service to any user whom we determine, based on publicly available information or information the user provides, to be a Competitor or an employee, officer, director, controlling shareholder, contractor, or agent of a Competitor. For purposes of this Section, "Competitor" means any entity that develops, markets, distributes, or commercially supports GPS or location-simulation software, or any other product or service, in actual or reasonably anticipated commercial competition with PinDrift.

Termination under this Section 13.5 is treated as a discretionary termination under Section 13.2 and is subject to the same thirty-day refund obligation, the same implied covenant of good faith and fair dealing, and the same non-discrimination carve-outs. PinDrift will not invoke this Section against: (a) a user whose only connection to a Competitor is general employment in the technology industry, (b) a user employed by a company whose products do not actually or reasonably-anticipatedly compete with any PinDrift product or service, (c) a user with a clearly disclosed academic, journalistic, regulatory, or good-faith research interest, or (d) any class of users in a manner that would constitute unlawful discrimination. A user who believes a termination under this Section was in error may invoke the dispute-resolution procedure in Section 11; this Section 13.5 does not abridge those rights.

14. Changes to These Terms

We may update these Terms from time to time. We will give notice of material changes in the Software at next launch and via the email address associated with your License at least fourteen (14) days before they take effect. Your continued use of the Software after the effective date of the change constitutes your acceptance of the updated Terms. If you do not agree, your sole remedy is to stop using the Software; if you are within the refund window in Section 5 at the time the updated Terms take effect, you may request a refund under Section 5 on the basis of the change. We will not retroactively apply material changes to disputes that arose before the effective date.
